These Publisher Terms & Conditions ("Agreement") are entered into by and between OXE LTD (trading as "AuthorityPanel"), registered in England and Wales at 27 Old Gloucester Street, London WC1N 3AX ("AuthorityPanel", "we", "our"), and you ("Publisher"), collectively referred to as the "Parties."
By registering as a Publisher and using the AuthorityPanel platform (the "Platform"), you agree to be bound by this Agreement.
1. Purpose and RelationshipAuthorityPanel operates a Platform that facilitates introductions between brands and publishers for digital media placements. You may list your publication, blog, newsletter, or other media properties to monetise editorial content. This Agreement is non-exclusive and does not create a partnership or agency relationship.
2. Publisher Listings & Editorial ControlYou may submit offerings, pricing, and listing information for review. You retain full editorial discretion. You may reject any request, revise advertiser content, or set publishing guidelines. You are solely responsible for compliance with advertising labelling and disclosure requirements (e.g., ASA regulations, CMA guidelines, and other applicable laws).
3. Fees, Payment and RefundsAuthorityPanel charges a commission (typically 10%) on confirmed bookings. Once a placement is published, your net earnings (less our commission) will be paid within 30 UK business days. If a campaign is cancelled pre-publication, no payment is owed. If refunds are required post-payment due to breach or performance dispute, you agree to repay any overpaid amount within 30 days of notice.
4. Misrepresentation and Traffic IntegrityYou must not engage in click inflation, artificial engagement, misreporting of traffic/subscriber numbers, or submission of fake metrics. Breach may result in immediate termination and withholding of payments.
5. Data & Legal ComplianceYou are responsible for ensuring compliance with the UK GDPR, Data Protection Act 2018, PECR, and other applicable regulations concerning personal data and email marketing. AuthorityPanel disclaims liability for your misuse of personal data.
6. Non-CircumventionFor Advertisers introduced via AuthorityPanel, you may not solicit or contract directly with them for similar services outside the Platform for a period of 12 months. Breach may result in termination and financial penalties equivalent to lost commissions.
7. TerminationThis Agreement may be terminated by either Party with 30 days' notice. Immediate termination may occur for material breach if not remedied within 14 days. AuthorityPanel will settle any pending balances for completed, compliant placements.

All other warranties, express or implied, are excluded to the maximum extent permitted by law.
9. Liability & IndemnityNeither Party is liable for indirect, incidental, or consequential loss. You agree to indemnify AuthorityPanel for any claims arising from your media, content, or legal non-compliance. We agree to indemnify you against claims arising from our commission processes, provided you have acted in good faith.
10. TaxesEach Party is responsible for their own tax obligations. You must comply with local VAT or income tax requirements.
11. ConfidentialityAll non-public business information exchanged must be treated as confidential. Neither Party shall disclose such information without consent unless required by law.
12. Governing Law & JurisdictionThis Agreement shall be governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. AmendmentsAuthorityPanel may update these terms from time to time. You will be notified of material changes and continued use of the Platform constitutes acceptance.
